By accessing or using the GuardTrac platform, website, mobile applications, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

GuardTrac is a cloud-based security guard management platform that provides tools for guard tracking, scheduling, incident reporting, billing, communication, and related operational features. The Service is provided via web dashboard and mobile applications for iOS and Android.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify GuardTrac immediately of any unauthorized use of your account.

• You must be at least 18 years old to create an account.
• Each organization receives a unique subdomain (e.g., yourcompany.guardtrac.com).
• You are responsible for all users added to your organization's account.
• GuardTrac reserves the right to suspend or terminate accounts that violate these Terms.

4. Subscription Plans and Billing

GuardTrac offers multiple subscription tiers, including a free plan and paid plans. By selecting a paid plan, you agree to pay the applicable fees as described at the time of purchase.

• Free Plan: Subject to usage limits as described on our pricing page. GuardTrac may modify free plan features at any time.
• Paid Plans: Billed on a per-user basis. Fees are charged in advance on a monthly or annual basis depending on your selected billing cycle.
• Free Trials: If you sign up for a free trial, you will not be charged until the trial period ends. You may cancel at any time during the trial.
• Price Changes: GuardTrac may change pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance.
• Refunds: Fees are non-refundable except as required by applicable law or at GuardTrac's sole discretion.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service for any illegal or unauthorized purpose.
• Attempt to gain unauthorized access to any part of the Service or its related systems.
• Interfere with or disrupt the integrity or performance of the Service.
• Upload or transmit viruses, malware, or other harmful code.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to collect personal information of others without their consent.
• Resell, sublicense, or redistribute the Service without written permission from GuardTrac.

You are responsible for ensuring that Your Data complies with applicable laws and does not infringe on the rights of any third party. GuardTrac is not responsible for the content, accuracy, or legality of Your Data.

9. Service Availability and Modifications

GuardTrac strives to maintain high availability but does not guarantee uninterrupted access to the Service. We will make reasonable efforts to notify you of significant changes that affect your use of the Service.

You may terminate your account at any time by contacting us at info@guardtrac.com. GuardTrac may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms, with or without notice.

Upon termination, your right to use the Service will immediately cease. GuardTrac may retain Your Data for a reasonable period to comply with legal obligations, resolve disputes, or enforce agreements. You may request deletion of Your Data by contacting us.

Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of such courts.

GuardTrac reserves the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and GuardTrac regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment: You may not assign your rights or obligations under these Terms without GuardTrac's prior written consent. GuardTrac may assign its rights and obligations without restriction.
